The JOBS Act makes significant changes to the securities offering framework in the United States, for emerging companies as well as for existing public companies. The Act modernizes the framework for offering related communications by relaxing the prohibition on general solicitation for certain offerings and permitting the use of the internet. So, one might reasonably ask, what’s private about a private offering in a post-JOBS Act world. We’ll discuss the changes to Rule 506 and 144A; the Section 4(a)(2) exemption (formerly known as 4(2)); and the integration of offerings occurring in close proximity to one another.
