Mr. Shardul S. Shroff is the managing partner of Amarchand Mangaldas. In practice since 1980, Mr Shroff has over 30 years of legal advisory experience. He is a leading authority on banking and finance, and a senior attorney and advocate-on-record of the Supreme Court of India.
Mr Shroff's practice in banking and finance is broad based, with extensive experience in acquisitions and takeovers, corporate, project and structured financing. He is regularly called upon by foreign and domestic corporations and financial institutions to advise them on complex corporate and finance matters and transactions.
Mr. Shroff will address (i) the various laws applicable at the time of making foreign investments into India -the exchange control regulations, securities regulations, anti trust rules, regulatory approvals , taxation laws (ii) the different methods of making foreign investment into India (foreign direct investment, foreign institutional investment, QFI, external commercial borrowings etc)/instruments available for foreign investment (iii) certain recent developments (2G judgment/Vodafone/Aditya Birla Nuovo judgment /retrospective amendment created by the Finance Act 2012) in relation to making foreign investments into India (iv) some peculiar issues specific to India (enforceability of transfer restrictions in respect of shares of a public company, enforceability of put/call option in respect of shares of a public company, treatment of veto rights granted to investors in a public listed company) and other similar issues.
