Prof. Guaccero will focus on the conventional view of Europe as a place that considers the prevailing board neutrality rule as ancillary to the principle of shareholders' primacy. Rather, the scenario has changed in the last years in connection with an increased attention to the enhancement of certain shareholders' rights in corporate governance (including voting rights), thus leading in the end to the effect of making corporate control less contestable and corporate takeovers less likely to succeed.
